Terms and Conditions

1. Introduction and Acceptance
Welcome to Cent Australia ("Cent", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our third-party logistics services, website (getcent.com.au), and all related services provided by Cent Logistics Pty Ltd, operating from the Gold Coast, Queensland, Australia.
By engaging our services, accessing our website, or entering into any service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services Provided
Cent Australia provides comprehensive third-party logistics (3PL) solutions including but not limited to:
Warehousing and Storage: Secure short-term and long-term inventory storage in our state-of-the-art facilities
Labelling Services: Custom labelling, barcoding, and compliance labelling solutions
Order Picking: Technology-driven, automated picking services ensuring accuracy and efficiency
Packing Services: Custom packaging solutions designed to protect products and enhance brand presentation
Shipping and Distribution: Domestic and international shipping through our carrier partnerships
All services are provided subject to availability, operational capacity, and mutual agreement on service specifications outlined in your Service Agreement.
3. Service Agreements and Quotations
3.1 Service Agreements
All services commence upon execution of a Service Agreement, which incorporates these Terms by reference. The Service Agreement will specify:
Scope of services required
Pricing structure and payment terms
Service level agreements (SLAs)
Specific operational requirements
3.2 Quotations
Quotations provided are valid for thirty (30) days unless otherwise specified. All quotations are subject to final confirmation based on actual inventory volumes, service requirements, and operational assessments.
4. Client Responsibilities
As our client, you agree to:
Provide accurate and complete information about your products, including any special handling requirements, hazardous materials declarations, and regulatory compliance needs
Ensure all products delivered to our facilities comply with Australian laws and regulations
Maintain adequate insurance coverage for your inventory
Provide reasonable forecasts of inventory volumes and shipping requirements
Promptly communicate any changes to your business that may affect our services
Ensure timely payment of all invoices according to agreed terms
5. Fees and Payment Terms
5.1 Pricing Structure
Service fees are calculated based on the pricing structure outlined in your Service Agreement, which may include:
Storage fees (per pallet/cubic metre/SKU)
Handling and processing fees
Picking and packing charges
Shipping and freight costs
Additional service charges as specified
5.2 Payment Terms
Unless otherwise agreed in writing:
Invoices are issued monthly for services rendered
Payment is due within thirty (30) days of invoice date
Late payments incur interest at 1.5% per month or the maximum rate permitted by law
We reserve the right to suspend services for overdue accounts exceeding sixty (60) days
5.3 Fee Adjustments
We reserve the right to adjust fees annually or as specified in your Service Agreement, with thirty (30) days written notice.
6. Liability and Limitations
6.1 General Liability
While we maintain the highest standards of care and security, Cent Australia's liability for loss or damage to goods is limited to:
Direct physical loss or damage to goods while in our custody
Maximum liability of $500 per item or actual value (whichever is lower) unless additional coverage is arranged
6.2 Exclusions
We are not liable for:
Indirect, consequential, or economic losses
Loss due to inherent product defects or inadequate packaging
Damage from circumstances beyond our reasonable control (force majeure)
Loss arising from inaccurate information provided by the client
6.3 Claims Process
All claims must be submitted in writing within seven (7) days of delivery or discovery of loss. Claims must include supporting documentation as reasonably requested.
7. Intellectual Property
7.1 Client Property
You retain all rights to your intellectual property, including trademarks, logos, and product designs. You grant us a limited license to use such property solely for the purpose of providing our services.
7.2 Our Property
All Cent Australia intellectual property, including our automated systems, processes, and operational methodologies, remains our exclusive property.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of our business relationship. This obligation survives termination of services for a period of three (3) years.
9. Data Protection and Privacy
We handle all data in accordance with our Privacy Policy and Australian privacy laws. We implement industry-standard security measures to protect your business and customer data processed through our systems.
10. Termination
10.1 Termination Notice
Either party may terminate services with ninety (90) days written notice, unless otherwise specified in your Service Agreement.
10.2 Immediate Termination
We reserve the right to terminate services immediately for:
Non-payment exceeding ninety (90) days
Breach of these Terms or Service Agreement
Illegal or prohibited products
Actions that endanger our staff, facility, or other clients' goods
10.3 Post-Termination
Upon termination, you must remove all inventory within thirty (30) days. Uncollected goods may be subject to disposal or sale to recover outstanding fees.
11. Dispute Resolution
We are committed to resolving disputes efficiently and fairly. Any disputes arising from these Terms or our services will be:
First addressed through good faith negotiations
If unresolved, submitted to mediation in Gold Coast, Queensland
Finally, resolved through binding arbitration under Australian Commercial Arbitration rules
12. Governing Law
These Terms are governed by the laws of Queensland, Australia. Both parties submit to the non-exclusive jurisdiction of Queensland courts.
13. General Provisions
13.1 Entire Agreement
These Terms, together with your Service Agreement, constitute the entire agreement between parties.
13.2 Modifications
We may update these Terms with thirty (30) days notice. Continued use of our services constitutes acceptance of modified Terms.
13.3 Severability
If any provision is deemed invalid, the remaining Terms continue in full effect.
13.4 Assignment
You may not assign your rights without our written consent. We may assign our rights in connection with business reorganization.
